Terms of Service

These Terms of Service ("Terms") govern your access to and use of Rekodi, a WhatsApp-based business recordkeeping and customer catalogue service provided by Zamvi Technologies ("Zamvi", "we", "us" or "our"). By messaging or using Rekodi, you agree to these Terms. If you use Rekodi for a business or another person, you confirm that you are authorized to accept these Terms on their behalf. If you do not agree, do not use the Service.

1. The Service

Rekodi helps businesses record sales, expenses, customer credit, products, stock, and orders through WhatsApp. Depending on availability, account eligibility, and subscription access, it may also provide M-Pesa reconciliation, summaries, reminders, product photos, and credit-readiness exports. Product catalogues and photos are shared with customers through WhatsApp; Rekodi does not promise a public web storefront.

The Service depends on third-party platforms, including WhatsApp, Nexus, hosting and database providers, payment providers, and (for some features) Anthropic (Claude AI) and Safaricom Daraja. Their availability, rules, and fees are outside Zamvi's control. A message accepted for delivery may be queued and is not necessarily delivered immediately.

2. Eligibility and accounts

You must be able to form a binding agreement and provide accurate information needed to use the Service. Rekodi identifies business users primarily by their WhatsApp phone number. You are responsible for your phone, WhatsApp account, any PIN you set, and all activity submitted from your number. Notify us promptly if you believe your account or device has been accessed without permission.

3. Your records and responsibilities

You are responsible for the accuracy, completeness, and lawful use of information you submit, including sales, expenses, M-Pesa transaction details, customer names and phone numbers, product details, and photos. You must have the rights and permissions needed to submit customer information and images and to instruct us to process them. Provide any notices and obtain any consent required by law before adding or messaging a customer.

You are responsible for reviewing entries and correcting mistakes. Rekodi may interpret some short free-text messages with automated tools; interpretation can be wrong. Check the confirmation and resulting records, and do not rely on the Service as your only copy of important business information.

4. Acceptable use

You agree not to:

• use Rekodi unlawfully, deceptively, or to infringe another person's rights;
• submit information or images you are not authorized to use;
• send unsolicited, unlawful, or non-consensual messages or misuse reminder features;
• attempt to access another business's records, accounts, or systems;
• interfere with, probe, reverse engineer, or disrupt the Service or its security; or
• use Rekodi to store highly sensitive information that the Service does not request.

5. Customer messages, consent, and third-party channels

WhatsApp and other messaging providers impose their own rules, delivery windows, opt-in requirements, and template approvals. You must comply with them. Rekodi may register your number with its messaging provider when you initiate a conversation so that it can reply to you. Customer debt reminders are sent only where the required consent is recorded; customers may reply STOP to withdraw consent. You remain responsible for the underlying customer relationship and for the accuracy and lawfulness of any debt or payment claim.

6. M-Pesa and payment information

M-Pesa reconciliation features record and match transaction information to help maintain business records. They are not a payment account, wallet, banking service, or guarantee that a transaction is genuine, complete, or correctly matched. You must verify important transactions independently. Rekodi does not initiate payments or STK Push transactions on your behalf.

7. Subscriptions and payment

Some features require a subscription. Available features, price, billing period, and payment options will be shown to you when you request an upgrade. A trial may be provided where offered. Payments are initiated through a third-party payment provider, such as Paystack; Rekodi does not store your card or mobile-money credentials. A subscription may expire or lose paid features if payment is not completed. To renew, you must act on a new payment request; Rekodi does not silently charge you on a recurring basis.

Except where required by law or stated otherwise at purchase, payments are non-refundable. Contact us promptly if you believe a payment was processed incorrectly.

8. Credit summaries and exports

Rekodi's summaries and credit-readiness information are calculated from the records available in your account. They are informational only and are not a credit score, loan decision, financial or accounting advice, audit, or guarantee of funding. A credit export requires your explicit sharing consent and may be accessed by authorized Zamvi administrators for the requested export. The Service does not promise that a lender or other external recipient will receive an export unless that specific sharing arrangement is presented to you.

9. Availability, changes, and suspension

We aim to keep Rekodi available, but do not guarantee uninterrupted or error-free operation. We may update or discontinue features, apply reasonable usage limits, perform maintenance, or suspend or restrict access to protect users, comply with law, address a security risk, or respond to a breach of these Terms. Where reasonably practicable, we will provide notice before a material change or suspension.

10. Data and privacy

Our Privacy Policy explains how Zamvi handles personal information. You retain your rights in the information you submit. You authorize Zamvi to process it as needed to provide, secure, and improve the Service and as otherwise described in that policy. Businesses are responsible for their lawful basis and instructions for customer information submitted through Rekodi.

11. Intellectual property

Zamvi and its licensors own Rekodi and its software, branding, and related materials. These Terms give you a limited, revocable, non-exclusive right to use the Service for your business while you comply with these Terms. You retain ownership of the content you submit and grant Zamvi permission to host, process, transmit, and display it only as needed to operate the Service and perform your requested actions.

12. Disclaimers and liability

To the extent permitted by law, Rekodi is provided on an "as available" basis. Zamvi does not warrant that automated interpretations, records, summaries, reconciliations, or messages will always be accurate, complete, timely, or delivered. Rekodi is a recordkeeping aid, not a substitute for professional accounting, tax, legal, lending, or financial advice. Keep independent records and verify material decisions.

To the extent permitted by applicable law, Zamvi will not be liable for indirect, incidental, special, consequential, or punitive loss, loss of profits, business opportunity, data, or goodwill arising from use of or inability to use the Service. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

13. Ending use of Rekodi

You may stop using Rekodi at any time. You can ask us to close your account or make a privacy request through the contact details below. We may retain records that are needed to meet legal obligations, resolve disputes, enforce these Terms, or maintain security, as explained in the Privacy Policy.

14. Changes to these Terms and contact

We may update these Terms by publishing a revised version here. Material changes will take effect when posted or as otherwise communicated. These Terms are governed by the laws of Kenya, subject to any mandatory consumer protections or other rights that apply to you.
